Terms of Service
These Terms of Service (the “Terms”) govern your access to and use of the Videohati video infrastructure platform, including the dashboard, APIs, SDKs, embeddable player, and related services (together, the “Service”). The Service is operated by Videohati (“Videohati”, “we”, “us”, or “our”). By creating an account, accessing the dashboard, or calling our APIs, you agree to these Terms on behalf of yourself and any organization you represent (“you” or “Customer”).
1. Acceptance of these Terms
By registering for an account, integrating the Service into your application, or otherwise using the Service, you confirm that you have read, understood, and agree to be bound by these Terms and by our Privacy Policy and Cookie Policy, which are incorporated by reference. If you do not agree, you must not use the Service.
If you accept these Terms on behalf of a company, school, university, or other organization, you represent that you have authority to bind that organization to these Terms.
2. Accounts and eligibility
- You must be at least 18 years old, or the age of legal majority in your jurisdiction, to create an account.
- New accounts are subject to an approval step before video processing is enabled. We may approve, decline, or revoke access at our discretion during this review.
- You are responsible for the accuracy of the information you provide and for keeping your account credentials, API keys, and signing secrets confidential.
- You are responsible for all activity that occurs under your account and API keys, including activity by your end users and team members.
3. Description of the Service
Videohati provides infrastructure for ingesting, encoding, storing, protecting, and streaming video for education platforms. Capabilities include chunked upload, adaptive encoding, tokenized playback, watermark protection, analytics, and webhooks. Specific features depend on your plan and may change over time as we improve the Service.
4. Acceptable use
You agree that you will not, and will not permit your end users to:
- Upload, stream, or distribute content that infringes the intellectual property rights, privacy rights, or other rights of any third party.
- Use the Service to store or transmit unlawful, defamatory, harassing, or harmful material, or material that exploits minors.
- Attempt to bypass tokenized access, watermarking, rate limits, encoding quotas, or any other technical control of the Service.
- Reverse engineer, decompile, or attempt to extract source code from the Service, except to the extent this restriction is prohibited by applicable law.
- Probe, scan, or test the vulnerability of the Service, or breach any authentication or security measure, without our prior written permission.
- Resell, sublicense, or provide the Service to third parties as a standalone product rather than as part of your own application.
5. Customer content and ownership
You retain all ownership of the video files, metadata, captions, and other materials you submit to the Service (“Customer Content”). You grant Videohati a worldwide, non-exclusive license to host, process, transcode, cache, and deliver Customer Content solely as needed to operate and provide the Service to you.
You represent that you hold all rights necessary to upload and distribute your Customer Content and that its processing by Videohati does not violate any law or third-party right.
6. API keys, SDKs, and rate limits
- We issue test keys (prefixed vh_test_) and live keys (prefixed vh_live_). Test keys are for non-production integration work; live keys carry production usage and billing.
- You must keep API keys secret. We are not liable for losses arising from leaked or shared keys, and you must rotate any key you believe has been exposed.
- The Service enforces rate limits and quotas. We may throttle or suspend requests that exceed your plan’s limits to protect the Service for all customers.
7. Plans, fees, and billing
Paid plans are billed according to the pricing presented at sign-up or in your order. During the MVP period, billing adjustments and credits may be applied manually by our team; there is no self-service checkout. Usage-based charges (such as storage, encoding minutes, and delivered bandwidth) are metered and reported on your account.
Unless stated otherwise, fees are exclusive of taxes, and you are responsible for any applicable taxes other than taxes on our net income.
8. Availability and changes
We work to keep the Service available and will publish operational status. We may modify, suspend, or discontinue features with notice where practical. We may also perform maintenance that temporarily affects availability.
9. Intellectual property and infringement claims
Videohati respects intellectual property rights and responds to valid notices of claimed infringement. If you believe content delivered through the Service infringes your copyright, follow the procedure in our Copyright / DMCA Policy.
10. Suspension and termination
- You may stop using the Service and close your account at any time from the dashboard or by contacting support.
- We may suspend or terminate your access if you breach these Terms, fail to pay fees when due, or use the Service in a way that creates legal exposure or risk to other customers.
- On termination, your right to use the Service ends. We may delete Customer Content after a retention window described in our Privacy Policy.
11. Disclaimers
The Service is provided on an “as is” and “as available” basis. To the maximum extent permitted by law, Videohati disclaims all warranties, whether express, implied, or statutory, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Service will be uninterrupted or error-free.
12. Limitation of liability
To the maximum extent permitted by law, Videohati will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, revenues, data, or goodwill. Our aggregate liability arising out of or relating to the Service will not exceed the amounts you paid to us for the Service in the twelve months preceding the event giving rise to the claim.
13. Indemnification
You will indemnify and hold harmless Videohati and its personnel from claims, damages, and expenses arising out of your Customer Content, your use of the Service, or your breach of these Terms.
14. Governing law and disputes
These Terms are governed by the laws of the Arab Republic of Egypt, without regard to its conflict-of-laws rules. The courts located in Cairo, Egypt will have exclusive jurisdiction over disputes arising out of these Terms, except where applicable law grants you rights to bring claims in your local jurisdiction.
15. Changes to these Terms
We may update these Terms from time to time. When we make material changes, we will update the “last updated” date below and, where appropriate, notify you through the dashboard or by email. Your continued use of the Service after changes take effect constitutes acceptance of the revised Terms.
